The agreement between the exhibiting company and the organiser (TPCI) will execute upon the Exhibiting Company's ("Exhibitor") registration with Indusfood. The Agreement becomes a binding contract between TPCI and the Exhibitor subject to the parties' respective rights described in the terms and conditions set forth below. No Exhibitor shall be considered to have accepted this Agreement unless the exhibiting company/firm has paid all applicable fees and deposits by the deadlines set forth in the Agreement and otherwise complied with the Agreement in all respects.
The execution of this Agreement and the timely payment of all fees and deposits do not guarantee that an Exhibitor will be permitted to exhibit at the show or be assigned to a particular exhibit hall, section within the show or exhibit hall, or the space or number of booths desired by the Exhibitor or assigned by TPCI. TPCI reserves the right to select those Exhibitors who will be permitted to exhibit at the show, and the exhibition hall, area, and number of booths in which the Exhibitor will be allowed to exhibit, in its sole and absolute discretion.
TPCI retains the absolute right to cancel, change, or modify the exhibit space assigned to any Exhibitor, in its sole and absolute discretion, for any reason or no reason, with or without cause, by mailing the Exhibitor a written "Notice of Cancellation or Change of Exhibit Space Assignment." The Exhibitor also recognizes and understands that circumstances may arise immediately prior to or during the Indusfood show that may make it necessary for TPCI to change or cancel an Exhibitor's space or make the exhibit space available for fewer days and/or fewer hours than previously confirmed.
Use of Fees and Deposits:
The Exhibitor acknowledges that TPCI reserves the right to apply any fees and deposit amounts paid pursuant to the Agreement:
to remedy any default by the Exhibitor under the Agreement including payment of required insurance;
to remedy any default by the Exhibitor from any previous agreement(s);
for payment of any cheques returned due to insufficient funds (including any associated bank fees); and
to pay any onsite violations by the Exhibitor.
The Exhibitor agrees to pay TPCI the amount offset against any past due amount by the applicable deadline. If the Exhibitor fails to pay the offset amount within the required period, the Exhibitor shall be considered in default of its payment obligations under the Agreement and TPCI shall have the right to cancel or change the Exhibitor's space assignment and exercise its other rights under the Agreement.
TPCI reserves the right to change, increase, or decrease the show hours, days, or location. Notwithstanding anything to the contrary in the Exhibitor Agreement, the Exhibitor acknowledges and agrees that if TPCI elects to change, increase, or decrease show hours, days, or location, the Exhibitor shall not be entitled to, and expressly disclaims, any right or claim to the return of any portion of show fees or deposits paid or payable by the Exhibitor to TPCI.
Should the premises or any portion thereof be rendered unusable for any reason or due to any cause whatsoever, including but not limited to fire, natural calamity, acts of God, mob, riot, or civil commotion, TPCI shall in no way be liable for any personal or business loss or any other damage, consequential or otherwise, inconvenience, or annoyance to the Exhibitor arising from any of the said causes.
TPCI makes no representations or warranties, express or implied, to the Exhibitor regarding the condition of the premises or the success of the Exhibitor's efforts for which the exhibit space will be used. Under no circumstances shall TPCI be held responsible or liable for any costs, expenses, damages, or any other sums whatsoever incurred by the Exhibitor or any other party as a result of the condition of the premises, the exhibit space, or the Exhibitor's efforts, or the theft or destruction of the Exhibitor's products or property.
The Exhibitor understands and acknowledges that all utilities, including but not limited to electricity, water, heating, ventilation, and air conditioning are provided by the show facility at a cost and not by TPCI, and as such, TPCI assumes no responsibility for any disruption in service.
The Exhibitor acknowledges and agrees that should TPCI issue a Notice of Cancellation or Change, or cancel or change an Exhibitor's space or make exhibit space available for fewer days than previously confirmed, TPCI shall not be held responsible or liable for any costs, expenses, damages, or any other sums incurred by the Exhibitor or any other party as a result of any exhibit space cancellation, change, or reduction in number of available days except as specifically set forth in this paragraph.
The Exhibitor expressly acknowledges and agrees that TPCI's liability to the Exhibitor in any way related to the Agreement and/or the use, cancellation, change, or reduction in the number of available exhibit days shall be limited to the return to the Exhibitor of all or a prorated portion of any fees or deposits previously remitted to TPCI.
TPCI shall have the right, in its sole and absolute discretion, to establish rules for the show and the use of exhibit space covered by the Agreement, including but not limited to rules within the Exhibitor Manual. All Exhibitors are required to comply with such rules, which shall be deemed incorporated herein and shall be made available prior to the show.
Payments and Refund:
Exhibitors reserving exhibit space will have two scheduled payments:
50% advance payment of the total participation cost within three days of submission of the application form.
50% balance payment before 31st October 2025.
If the Exhibitor wishes to modify its Stand Space, it shall send a written request to TPCI stating the reason for the proposed modification, which TPCI may accept, reject, or approve under conditions at its reasonable discretion. Conditions may include payment of additional fees or cancellation charges if modification results in reduced space requirements.
The Exhibitor shall carry public liability insurance against personal injury, death, and damage to or loss of property by any cause whatsoever. Evidence of insurance must be submitted to TPCI no later than 8 weeks prior to the Exhibition start date. If the Exhibitor signs the Agreement less than 8 weeks before the Exhibition, evidence must be provided upon signing.
The terms and conditions set forth govern the rights and responsibilities of TPCI and the Exhibitor. The Agreement supersedes all prior agreements, negotiations, and discussions between the parties or their representatives.
The Agreement shall be interpreted in accordance with the laws of India.
The provisions set forth are severable. If any provision is held invalid or unenforceable, the remaining provisions shall remain valid.
No waiver of any term shall be deemed a waiver of any other term, nor of the same term on another occasion.
The authorised signatory of the Exhibitor warrants authority to bind the Exhibitor legally.
TPCI shall use reasonable care to arrange required power services on time. TPCI shall not be responsible for late installation or interruptions.
By signing the Agreement, the Exhibitor authorizes TPCI to use its name and any photographs and/or video recordings taken at the exhibition and associated events for promotional purposes.
The Exhibitor shall provide the name of a responsible representative for installation, operation, and removal of exhibits and ensure their availability when required.
To ensure authorized access only, non-transferable badges will be issued. The Exhibitor must provide a personnel list by the required deadline. The Exhibitor is responsible for misuse of badges.
The Exhibitor shall be responsible and liable for the conduct of its personnel and associated representatives. TPCI reserves the right to remove any individual whose behavior is unlawful, disruptive, or inappropriate.
Confidentiality:
Neither party shall disclose confidential information received from the other party except where:
the receiving party already possessed such information;
the information is publicly available;
disclosure is required by law.
Confidentiality obligations survive termination.
The Exhibitor shall not exhibit counterfeit goods, infringing goods, or goods prohibited by law. If discovered, TPCI may remove goods, terminate the Agreement, or close the booth. No refund will apply. Removed goods will be returned.
The Exhibitor agrees to attend pre-registration inspections when required by TPCI.
The Exhibitor agrees to indemnify TPCI against all claims, losses, legal actions, penalties, and expenses arising from exhibiting prohibited or infringing goods.
Booth dimensions and locations (including those near pillars) shall be accepted without objection.
The Agreement may be terminated by TPCI at any time by written notice in the event of:
cancellation of the Exhibition;
improper use of the exhibition space;
failure to insure;
non-payment;
insolvency;
criminal conduct affecting reputation.
The Exhibitor shall not assign or sub-let any portion of space nor advertise non-participating companies. Displays must be appropriate and compliant. TPCI may require immediate correction if a breach occurs.
Buyer Participation Policy
Every buyer must fill the registration form in advance to visit the show.
The buyer must pay the registration fee within 4 days of filling the registration form to be eligible for the Hosted Buyer Program.
Registration Fee:
USD 250 + 18% GST (for International Buyers)
INR 17,500 + 18% GST (for Indian Buyers)
Filling the registration form does not guarantee entitlement to Hosted Buyer benefits.
Every buyer's profile is screened by the organising committee and approved or rejected based on specific criteria.
Once the buyer's profile is approved, the buyer may be eligible for all or some of the Hosted Buyer benefits. These benefits will be intimated to all approved buyers via email on their registered email IDs.
